1. Parties and Subject of the Agreement

1.1. These Terms of Use apply to all individuals accessing any platform of Selligo Ltd, including Visitors, Members, Users, Sellers, or Buyers. Please read the terms below carefully. If you do not accept these terms, do not access or use the platforms of Selligo Ltd.

1.2. The official representative of Selligo Ltd is Selligo Ltd, located at [Company Address]. Services provided under the Selligo Ltd brand are offered by the company. The company reserves the right to modify any information, images, prices, product varieties, campaigns, discounts, or any content, including these Terms of Use, at any time without prior notice.

1.3. Changes to these terms will be effective from the date of publication on the website, mobile application, or any platform operated under the Selligo Ltd brand. Users cannot unilaterally request changes, updates, or removal of the terms. Selligo Ltd only considers written and signed requests for changes but is not obligated to share its consent or delegate authority. There is no obligation to respond to such requests.

2. Definitions

- Website: The website owned by Selligo Ltd, consisting of the domain www.selligo.shop and its associated subdomains.

- Mobile Application: The application owned by Selligo Ltd that operates on mobile phones, tablets, and similar portable devices. This application is obtained from stores like Apple App Store or Google Play. The Selligo application available on these stores meets the required security standards. Selligo Ltd is not responsible for any security issues arising from software obtained through other means.

- Selligo: Refers collectively to the Website and the Mobile Application.

- Services: All services provided by Selligo to facilitate transactions defined in the Terms of Use and Membership Agreement for Sellers and Buyers.

This includes: - Listing and selling products from third-party firms with which Selligo has dealership agreements, - Displaying, listing, and allowing search for content uploaded by Sellers, - Acting as an intermediary for the sale of products from Sellers to Buyers, - Promotional services such as highlighting listings to increase visibility, - Providing communication support between Sellers and Buyers via live phone support or other communication methods.

The company may change the definition of Services or restrict third- party access at any time without notice.

- Visitor: Any individual or entity accessing Selligo. This definition includes Members, Users, Sellers, and Buyers. The company may request additional documents, including identification copies, to verify this.

- Member: An individual or entity that has created and approved a user account on Selligo and provides products or services for sale in accordance with the Membership Agreement. Membership requirements are detailed in the Membership Agreement.

- Seller: An individual or entity that sells their products to Buyers on Selligo as a member. Membership is required to be a Seller on Selligo.

- Buyer: An individual or entity that purchases products from Selligo or Sellers. Membership is required to be a Buyer on Selligo.

- User: Any individual or entity that sells, purchases products, or uses services on Selligo. Users may also be referred to as “Visitor,” “Member,” “Buyer,” or “Seller.”

- Payment Service Provider:** Banks, electronic money institutions, and payment institutions authorized under the Payment Services and Electronic Money Institutions Regulations 2009 or the UK Financial Services and Markets Act 2000, with whom the company has contractual relationships. The company may change Payment Service Providers without notice.

- Product: Products provided by third-party firms with which Selligo has dealership agreements, offered for sale on Selligo. These products include digital codes and in-game currency, generally referred to as E- PINs (Electronic Pins).

- Content: Any information, text, files, images, videos, and other visual, written, and auditory materials accessible on Selligo, uploaded by the company or Users.

- Database: The collection of all content stored, classified, queried, and accessible, owned by Selligo Ltd and protected under the UK Copyright, Designs and Patents Act 1988 and the Data Protection Act 2018.

3. SELLIGO LTD TERMS OF USE AND CONDITIONS

3.1. Selligo Ltd (hereinafter referred to as "the Company") facilitates the uploading of products from third-party companies with which it has a dealership agreement, as well as products from Sellers, onto the Selligo platform. Users can access, view, and purchase these products. The Company reserves the right to modify its services, add new services, or change the scope and terms of existing services unilaterally. There is no obligation to provide notice regarding these changes.

3.2. The Company does not guarantee the accuracy, safety, or legality of the content uploaded to the platform and is not responsible for such content. The accuracy and safety of the content are the responsibility of the users who upload it.

3.3. Selligo provides services including (i) listing products from third- party companies, (ii) enabling Sellers to offer products for sale and Buyers to view and order these products, and (iii) facilitating the transfer of payments to Sellers.

3.4. The Company acts as an "Intermediary Service Provider" in facilitating the establishment of a distance contract and is subject to the UK Consumer Rights Act 2015 and other applicable UK laws.

3.5. The Company ensures that payments for products sold through Selligo are transferred to the relevant Sellers after payment confirmation. Buyers acknowledge that they enter into a commercial relationship with Sellers by making payments. Sellers agree that payments are held in payment accounts designated by the Company and are responsible for paying service fees for these services.

3.6. The Company accepts no responsibility for the services provided by third parties on the platform or for the legality of the content.

3.7. Users undertake the accuracy of the information they provide and agree to be liable for any damages the Company may incur due to inaccurate information.

3.8. The Company is not obligated to monitor the legality of the content and does not guarantee the safety and accuracy of the content.

3.9. The Company retains the records required by law and is deemed to have obtained consent to process user data.

3.10. The Company has the right to process, share, and store user information. This information may be used for statistical evaluation and service provision.

3.11. The Company does not collect special category personal data from users.

3.12. Users may only engage in lawful transactions, and they are responsible for the consequences of these transactions.

3.13. Sellers are responsible for updating product information. The Company does not guarantee the accuracy of stock and price information.

3.14. Individuals under the age of 18 cannot make purchases on Selligo.

3.15. The Company may provide links to other websites but is not responsible for the content of those sites. Users accept responsibility for any damages arising from accessing content via these links.

3.16. The Company takes necessary measures to keep personal information confidential but cannot be held responsible for any information loss resulting from attacks.

3.17. Users agree to purchase products at the listed prices and do not have the right to question the Company's pricing discretion.

3.18. Buyers may exercise their legal rights in case of defective products, but the Company cannot be held responsible for the sale and delivery of products.

3.19. The Company accepts no responsibility for payments and promotions.

3.20. The Company is not a party to any disputes that may arise between Buyers and Sellers.

3.21. In case of a breach of contract, the Company reserves the right to claim compensation for damages. If the broadcast is stopped, sales transactions will be suspended, and no compensation can be claimed.

3.22. The Company reserves the right to terminate membership and block access in case of users’ rule violations.

3.23. The Company is not responsible for product changes made by Sellers.

3.24. The Company has no obligation to respond to any claims.

3.25. The Company is not responsible for users' offline and online behavior.

3.26. Criminal transactions and acts are prohibited. Users may be deprived of access to services due to such behavior.

3.27. Membership is required for product purchases, sales, or balance loading. Membership is free, and the terms are specified in the Membership Agreement.

3.28. The Company may open stores on other e-commerce platforms, and prices on these platforms may differ. Users cannot claim rights due to different pricing.

3.29. Post-sale support requests are not accepted.

3.30. Users are responsible for providing the necessary technical infrastructure. The Company is not responsible for problems arising from technical deficiencies.

3.31. The Company may display third-party advertisements, and these advertisements may be sent to users. Users are deemed to have accepted these advertisements.

3.32. There is no legal relationship between the user and the Company, and such a relationship cannot be claimed.

3.33. The Company is not responsible for information shared between users.

3.34. The Company makes necessary efforts to ensure the continuity of services, but continuity and reliability are not guaranteed.

3.35. Users are responsible for reading and understanding other policies outside this agreement.

3.36. Selligo Ltd reserves the right to retain the amounts earned by Sellers in designated funds within the Company’s accounts until the Sellers request the disbursement of their funds.

4. INTELLECTUAL PROPERTY RIGHTS

4.1. Intellectual Property Rights: All content accessed on Selligo Ltd, including information provided by users, the Selligo Ltd database, interface, design, text, code, and all other components, belong to the Company and/or are lawfully acquired under a valid license from a third party. Except where expressly authorized by the Company in these Terms of Use, the Selligo Ltd database, interface, and other content should not be shared or copied.

4.2. User Content: Selligo Ltd is not responsible for content uploaded by users. Users are responsible for any legal processes that may arise from unauthorized sharing of their uploaded content. The Company reserves the right to remove content without notice if it believes the content is illegal.

4.3. Content Usage Restriction: Users shall not reproduce, copy, distribute, or process any content found on Selligo Ltd, including but not limited to electronic texts, visual and audio images, video clips, files, databases, catalogs, and lists.

4.4. Personal and Commercial Reputation: Users shall not engage in actions on Selligo Ltd or the platform that would damage the personal and commercial reputation of the Company or third parties or infringe on personal rights.

4.5. Content Ownership: Any content accessed or viewed through Selligo Ltd is owned by the Company. Written permission from Selligo Ltd is required for the reproduction, copying, or sharing of content with third parties.

4.6. Database Access: Users are prohibited from attempting to access the database where content on Selligo Ltd is stored in any way.

4.7. Data Extraction Prohibition: Users are prohibited from using APIs, scripts, or other software to extract data for the purpose of obtaining content accessed or viewed on Selligo Ltd.

4.8. Brand and Content Usage: The name, logo, or any content representing the platform of Selligo Ltd may not be used in any medium without the written consent of the Company. Selligo Ltd announces its business partners on the official website. Except for those listed here, no real or legal person has the right to use content representing the Selligo Ltd name.

5. FORCE MAJEURE

5.1. Liability Disclaimer: In cases legally considered as force majeure, the Company is not legally liable for failing to fulfill or delay fulfilling its obligations arising from the Terms of Use and/or Membership Agreement. In such cases, the Company is not obligated to compensate Users for any damages.

5.2. Force Majeure Definition: The term force majeure includes events that the Company cannot prevent despite showing due diligence. These events include natural disasters, riots, wars, epidemics, strikes, communication issues, infrastructure and internet failures, power outages, and restrictions imposed by official authorities on internet access.

6. APPLICABLE LAW

6.1. Validity: Unless otherwise stated, the records of Selligo Ltd shall be deemed valid regarding online transactions made by Users.

6.2. Law and Jurisdiction: The application, interpretation, and legal relationships arising within these Terms of Use shall be governed by English law. The courts of England and Wales shall have jurisdiction to resolve any disputes arising from or related to these Terms of Use.

6.3. Transfer of Rights: The User may not transfer their rights under this agreement without the approval of Selligo Ltd. Selligo Ltd is not responsible for any disputes arising from the transfer.

7. EFFECTIVENESS

7.1. Validity: These Terms of Use become effective on the date they are announced by the Company within Selligo Ltd. Users accept these Terms by visiting and/or using Selligo Ltd. The Company may make changes to the Terms of Use at any time, and such changes will be effective as of the date they are published on Selligo Ltd.
